The Longest Friday Sweepstakes

Official Rules

1. Eligibility: The Longest Friday Sweepstakes (the “Sweepstakes”) is open only to legal residents of the 50 United States (and D.C.) who are 18 years of age or older at the time of entry. Employees, officers, directors and independent contractors (including but not limited to social media influencers) of TGI Friday’s Inc., and its franchisees and distributors, Amp Activate c/o Upshot LLC, and their respective parent companies, subsidiaries, affiliates and agencies that are involved in this Sweepstakes, and the immediate family (spouse, parents, siblings, and children) and household members of each such person are not eligible. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void in Puerto Rico, U.S. Territories and where prohibited by law.

2. Sponsor: The Sweepstakes is sponsored by TGI Friday’s Inc., 19111 Dallas Parkway, Suite 165, Dallas, TX 75287.  Judging Agency: Amp Activate c/o Upshot LLC, 1756 W. Lake Street, Chicago, IL 60612.

3. Agreement to Official Rules: By participating in the Sweepstakes, Entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and its agencies (including Judging Agency), which are final and binding in all matters related to the Sweepstakes; and, by participating in the Sweepstakes, Entrant further represents and warrants that he/she is 18 years of age or older and otherwise satisfies the eligibility requirements set forth in Rule 1 above. Winning a prize is contingent upon fulfilling all requirements set forth herein.

4. Sweepstakes Period: The Sweepstakes will be offered on Friday, June 14, 2024, from 12:00:01 a.m. Eastern Time (“ET”) until Friday, June 21, 2024 at 11:59:59 p.m. ET (the “Sweepstakes Period”).

5. How to Enter: There are two (2) methods of entry into the Sweepstakes as further described below:

Method Of Entry:

(a)  Post a response to any Sweepstake post on Instagram by Sponsor on the official TGI Fridays Instagram account (@TGIFridays), tagging @TGIFridays and following @TGIFridays (as of June 21, 2024 at 11:59:59 p.m. ET, the end of the Sweepstakes Period; see Rule 8 below).

OR

(b) Post a picture celebrating That Fridays Feeling™ at TGI Fridays on Instagram, independent of Sponsor’s Sweepstakes post, along with the hashtags #TheLongestTGIFriday and #SweepstakesEntry, tagging @TGIFridays, and following @TGIFridays (as of June 21, 2024 at 11:59:59 p.m. ET, the end of the Sweepstakes Period; see Rule 8 below).

No purchase necessary to enter. Should Sponsor acknowledge receipt of an entry, such acknowledgement does not constitute any representation of eligibility of the entry or that the entry has been selected as a potential prize winner in the Sweepstakes.

IT IS THE ENTRANT’S SOLE RESPONSIBILITY TO CONFIGURE HIS/HER PRIVACY SETTINGS SO THAT SPONSOR (@TGIFRIDAYS) CAN VIEW HIS/HER POST ON INSTAGRAM. A given person may only use one (1) Instagram account to enter the Sweepstakes, and a given Instagram account may only be used by one (1) person to enter the Sweepstakes.

Message and data rates apply if you use your mobile device for Sweepstakes entry (including by using the Instagram mobile application [“app”] on your mobile device). You may be charged by your wireless carrier for participating in the Sweepstakes via mobile device. Be sure to check your wireless carrier’s pricing plan before participating via mobile device. Not all mobile devices offer wireless Internet access; and, wireless Internet access may not be available in all areas.

6. Conditions on Entry:

(a)  Maximum of one (1) entry via Instagram posting in response to Sweepstakes post [as per Rule 5a above] per hour and one (1) entry via Instagram posting independent of Sponsor’s Sweepstakes post [as per Rule 5b above] per hour, for a maximum of one hundred ninety-two (192) entries per person across all entry methods. Should an individual post more than one (1) valid time as per Rule 5a or 5b above per hour, only the first such post will result in entry. However, egregious or repeated violations of the above restrictions will, at Sponsor’s or Judging Agency’s sole discretion, result in voiding of all entries with Entrant being disqualified from the Sweepstakes.

(b)  Any content included in Entrant’s Instagram post must be solely the Entrant’s original work. Copying/Re-posting another person’s Instagram post voids entry. Entrant must have permission from all individuals featured in Entrant’s Instagram post for the use of their images.

(c)  Content included in an Instagram post will NOT result in entry if Sponsor or Judging Agency determine in their sole discretion that such content: may violate the rights of any third party; is not relevant to the Sponsor’s Sweepstakes Instagram post (if applicable); is offensive, hateful, obscene; advocates illegal conduct or violence; reflects negatively upon Sponsor or its restaurant services or adversely affects the goodwill and business reputation of Sponsor; or is otherwise inappropriate for publication.   

(d)  Omission of the hashtags #TheLongestTGIFriday and #SweepstakesEntry will result in voiding of entry.

(e)  If posted more than once, the same content will only result in receipt of one (1) entry.

CONTENT INCLUDED IN ENTRANT’S INSTAGRAM POST ENTRY REFLECTS SOLELY THE OPINION OF THE PROSPECTIVE ENTRANT, AND NOT THE OPINIONS OF SPONSOR AND/OR JUDGING AGENCY. SPONSOR AND JUDGING AGENCY ALSO EXPRESSLY DISCLAIM ANY AND ALL LIABILITY IN CONJUNCTION WITH FILTERING OR MONITORING CONTENT INCLUDED IN ENTRANT’S INSTAGRAM POST ENTRY.

7. Grant of Rights in Content. Subject only to any rights retained by Instagram / Meta, Entrant and all individuals featured in Entrant’s post grant to Sponsor and its designees the non-exclusive, irrevocable, perpetual, worldwide, royalty-free, transferable, sublicenseable right and license to use, perform, exhibit, reproduce and/or otherwise exploit the content in their Instagram entry in any manner and in any and all distribution channels, venues or media now known or hereafter devised, without further notice or any compensation to Entrant. Entrant waives any “Moral Right of Authors” (Droit Moral) in the content of their Instagram Entry. Entrant further agrees, upon Sponsor’s request and without compensation, to sign any and all necessary and appropriate documents so as to effect, perfect or record such grant of license rights; failure to sign such documents will result in forfeiture of any prize without any compensation. Entrant further expressly acknowledges that Sponsor has wide access to ideas, stories, designs and other literary/artistic materials submitted to it from outside sources or being developed by its own employees and that such ideas/stories/designs/literary/artistic materials may be competitive with, similar to (or even identical to) the content of Entrant’s Instagram entry and that Sponsor shall have no liability to Entrant or any third party in conjunction therewith.

By submitting a Sweepstakes Entry, you warrant and represent that (a) you have all rights, including, without limitation, rights of copyright, trademark and other intellectual property rights, to your Sweepstakes Entry in accordance with these Official Rules; (b) you have the consent of all individuals pictured in your Sweepstakes Entry to post their images for the purposes of this Sweepstakes; (c) your Sweepstakes Entry does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity, (d) publication or other use by Sponsor of the Sweepstakes Entry via various media including, without limitation, online posting, will not infringe on the rights of any third party rights; and (e) your Sweepstakes Entry otherwise complies with these Official Rules. You will indemnify and hold Released Parties (as defined below) harmless from and against any and all claims to the contrary and any demands, actions, causes of action, damages, costs or expenses brought against or suffered or incurred by the Released Parties, or any of them arising out of or in connection with your participation in this Sweepstakes, or the use, in whole or in part, by any Released Party of your Sweepstakes Entry (or portion thereof) submitted by you in this Sweepstakes.

8. Winner Selection: The winners will be selected via random drawing, to be conducted on or about June 24, 2024 by Judging Agency, an independent judging organization whose decisions as to the administration and operation of the Sweepstakes, including winner selection, are final and binding in all respects and not subject to appeal. There will be twenty-one (21) random drawings in total. The random drawings will be conducted in chronological order. Each random drawing will consist only of eligible entries received Friday, June 14, 2024, from 12:00:01 a.m. Eastern Time (“ET”) until Friday, June 21, 2024 at 11:59:59 p.m. ET (the “Sweepstakes Period”). Provided that the content included in an Instagram Entry is in compliance with these Official Rules (including Rule 6 above), the nature of such content will not be taken into account in the winner selection procedure.
9. Winner Notification/Verification: Potential winners will be notified via direct message on Instagram from @TGIFridays.  BE SURE THAT YOUR PRIVACY SETTINGS ALLOW FOR YOU TO RECEIVE DIRECT MESSAGES FROM @TGIFridays.  If a potential winner cannot be contacted within forty-eight (48) hours, he/she forfeits the prize without compensation of any kind. In the event that a potential  winner is disqualified for any reason, Judging Agency may award the prize to an alternate winner from among all remaining eligible entries received for the applicable random drawing. Potential winners, and any other individuals featured in a potential winner’s Instagram post, may be required to execute and return an affidavit of eligibility, a liability release and, where lawful, a publicity release within two (2) days of receipt.  If such documents are not returned within the specified time period, prize notification is returned as undeliverable, or such potential winner is not in compliance with these rules, prize will be forfeited and, at Sponsor’s discretion, an alternate winner selected.
10. Sweepstakes Prize/Prize Restrictions/Odds of Winning:

Twenty-One (21) Prizes are available to be won in the Sweepstakes, with one (1) Prize available in each random drawing. Each Prize is a $1,000 TGI Fridays e-gift card. Redemption of e-gift card is subject to terms and conditions of use provided therewith; by way of example only, e-gift card is only redeemable at participating TGI Fridays restaurant locations in the U.S. and cannot be redeemed for cash value except as required by law. All unspecified expenses in accepting/use Prize and any applicable taxes on Prize are winner’s sole responsibility. Prizes are not transferable. No prize substitution is allowed. Limit of one (1) prize per family, household or address. Total Value of All Prizes:  $21,000.00.

        Odds of winning a Prize depend on the total number of eligible entries received during the Sweepstakes Period.

11. Publicity: Participation in the Sweepstakes constitutes entrant’s consent for Sponsor and its designees to use Entrant’s name, statements, likeness, photograph and state of residence for promotional purposes in any media, worldwide in perpetuity, without consideration or notice, unless prohibited by law.

12. General Conditions: Any dispute as to identity of Entrant will be resolved by Sponsor/Judging Agency based on their determination in their sole discretion of the owner of the Instagram account used to enter the Sweepstakes. Sponsor and its agencies (including Judging Agency) are not responsible for entries/attempted entries that are lost, late, illegible/garbled, corrupted, misdirected, defective, inaccessible, compromised, incomplete, damaged or delayed; and all of the preceding are void. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to, fraud, technical failures, virus or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules (as determined by Sponsor in its sole discretion); or (b) cancel the Sweepstakes and award the prizes in a random drawing from among all eligible entries received up to the time of impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

13. Release and Limitations of Liability: By participating, entrants agree to release and hold harmless TGI Friday’s Inc., and its franchisees and distributors, Amp Activate c/o Upshot LLC, and their respective parents, subsidiaries, affiliates, agents and agencies, and the officers, directors and employees of each of them, as well as Instagram / Meta. (the “Released Parties”) from and against any claim or cause of action arising out of or related to participation in the Sweepstakes or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, printers or telephone or network lines; (c) printing errors; (d) errors in the administration of the Sweepstakes or the processing of entries (including but not limited to Sponsor’s failure to furnish an entry due to inaccessibility of any posting on Instagram due to filtering by or operation of the functionality of Instagram or any other cause); or (e) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, by entrant’s participation in the Sweepstakes or receipt or use of any Prize. If for any reason an Entrant’s entry is confirmed to have been erroneously deleted, lost, not recorded/credited to an Entrant, or otherwise destroyed or corrupted, Entrant’s sole remedy is another Sweepstakes entry, if feasible; and if commercially not feasible for any reason, as determined by Sponsor in its sole discretion, Sponsor shall have no liability to Entrant.

14. Disputes: Entrant agrees that: (a) decisions by Sponsor on all matters related to the Sweepstakes are final; however, any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or the awarding of Prizes shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Northern District of Texas; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas.

15. Winners’ List: Winners’ List (with redacted Twitter handle of each winner) will only be available after confirmation of all winners is complete.  To request a winners’ list, send a self-addressed, stamped envelope to: Amp Activate c/o Upshot LLC, 1756 W.
